Agreement and authority
By creating an account, purchasing a subscription or using Chart, you agree to these terms. If you act for an organisation, you confirm that you have authority to bind that organisation and manage its subscription and users.
The service
Chart provides cloud software for bookkeeping, invoicing, bank reconciliation, GST/BAS preparation, fixed-asset records and financial reporting. Features may be refined over time. We will not materially remove a paid core function during a current subscription period without reasonable notice, unless required for security or law.
Subscription, price and payment
The standard subscription is A$240 per organisation per year, including GST. Payment is due at the start of each annual subscription period and is processed by our payment provider.
The subscription renews automatically each year unless cancelled before the renewal date. We may change future pricing by giving reasonable notice before renewal. Current cancellation and refund terms are available in our Cancellation & Refund Policy.
Your account and users
You are responsible for keeping account details accurate, protecting sign-in credentials, assigning appropriate access and promptly removing users who should no longer have access. You must tell us promptly if you suspect unauthorised use.
Your data and responsibilities
You retain your rights in data entered into Chart. You give us permission to host, process and transmit that data only as needed to provide, secure and support the service.
You are responsible for the accuracy, legality and completeness of your records, for reviewing reports before relying on them, and for maintaining any additional records or exports required by your business, adviser or law.
Acceptable use
You must not use Chart unlawfully; upload malicious code; attempt to bypass security or access another organisation; interfere with the service; reverse engineer it except where law permits; or use it to infringe another person's rights.
Software tools, not professional advice
Chart provides record-keeping and reporting tools only. It does not provide accounting, tax, legal, financial or investment advice and does not lodge returns or reports with government agencies. You remain responsible for obtaining professional advice and meeting filing, payment and record-keeping obligations.
Availability and third-party services
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Chart depends on third-party infrastructure, payment, authentication and communication services. We may perform maintenance or suspend access where reasonably necessary for security, compliance or service integrity.
Intellectual property
Chart Pty Ltd and its licensors own the service, software, branding and related intellectual property. Your subscription gives authorised users a limited, non-exclusive, non-transferable right to use the service for the organisation during the paid period.
Consumer rights and liability
Nothing in these terms excludes rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law. To the extent permitted by law, we are not liable for indirect or consequential loss, lost profit, lost opportunity or loss arising from inaccurate data entered by a user, an unauthorised user, or reliance on the service as professional advice.
Suspension and termination
You may cancel renewal in accordance with our cancellation policy. We may suspend or terminate access for material breach, non-payment, unlawful use or a serious security risk. Where reasonably possible, we will give notice and an opportunity to remedy the issue. Data access and retention after termination are subject to applicable law and our retention practices.
General
These terms are governed by the laws of New South Wales, Australia. If part of these terms is unenforceable, the remainder continues. We may update these terms for future use of the service and will publish the current version with its effective date. Questions may be sent to support@urchart.com.
